Applegate FARE-Off Recipe Contest Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE OR IMPROVE YOUR CHANCES OF WINNING.

1. ELIGIBILITY. The “Applegate FARE-Off Recipe Contest” Contest (the “Contest”) is only open to entrants who, as of the start date, are permanent legal residents of the fifty (50) United States and the District of Colombia, eighteen (18) years of age or older and who have reached the legal age of majority in their state of residence. The Contest is void outside the fifty (50) United States and the District of Colombia and where prohibited or restricted by law. Employees, officers and directors of Applegate Farms, LLC (“Sponsor”), Food Allergy Research & Education (FARE), Trymark Consulting Group, L.L.C. and their respective parents, subsidiaries, affiliates (including, without limitation, divisions, advertising and promotion agencies, and the immediate families (defined as parents, spouses, children, siblings, grandparents, and their respective spouses) or members of the same household (whether related or not) of each such employee, officer and director), are not eligible to enter.

2. TIMING. The Contest begins 12:00 AM Eastern Time (“ET”) May 8, 2023 and ends 11:59 PM ET July 21, 2023 ("Contest Period"). The Contest entry period begins 12:00 AM ET May 8, 2023 and ends 11:59 PM ET June 2, 2023 (the “Entry Period”).

3. HOW TO ENTER. During the Entry Period, you (the “Entrant”) can enter the Contest by visiting http://www.applegate.com/recipecontest; then complete and submit the official entry form by providing your first and last name, e-mail address, phone number (including area code) and your original allergen-free recipe (recipe ingredients may not contain the following: sesame, peanut, egg, shellfish, wheat, tree nuts, soy, fish, or milk) including a recipe title, ingredients with exact measurements (up to three thousand (3,000) characters), preparation time, cook time, number of servings, preparation instructions (up to three thousand (3,000) characters) and a description (up to one thousand (1000) characters) explaining how food allergies have affected your life and why you were inspired to create the recipe in one (1) of the following three (3) categories: (i) grilling, (ii) breakfast, or (iii) lunch (each, a “Category”) (the official entry form and recipe elements shall be collectively referred to herein as the "Entry"). Recipe must include a minimum of one (1) allergen-free APPLEGATE® product ingredient Submission of erroneous or incomplete information will void the submitted Entry. Limit one (1) Entry per Category per person and per e-mail address for duration of Entry Period. Maximum three (3) Entries per Entrant (one (1) per Category) and Entrants are prohibited from entering the same Entry in more than one Category. If multiple Entries are received in excess of the stated limitation from any person or e-mail address during the Entry Period, only the first Entry received per Category from such person or e-mail address for such Category will be considered. All Entries must be in English. Entries will not be acknowledged or returned. Except as otherwise provided herein, Sponsor will not enter into any correspondence with an Entrant regarding an Entry. Should multiple users of the same e-mail account enter the Contest and a dispute thereafter arises regarding the identity of the Entrant, the authorized account subscriber of said e-mail account at the time of entry will be considered the Entrant and must comply with these Official Rules. “Authorized account subscriber” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization, which is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.


To be an eligible Entry in this Contest, your Entry may not contain any content that the Sponsor, in its sole discretion, determines to:

(a) be vulgar, offensive, sexually explicit, profane or pornographic;
(b) be derogatory of any race, ancestry, place of origin, color, ethnic origin, citizenship, religion, sex, sexual orientation, age, marital status, family status or disability; endorses any form of hate or hate group; defames, misrepresents or contains disparaging remarks about other people, products or companies;
(c) be violent or promotes the use of alcohol, illegal drugs, tobacco, or weapons; promotes unsafe activities;
(d) be the previous recipient of any award;
(e) be previously published (in whole or in part) or previously won any awards or honorable mentions;
(f) promote any political agenda or message;
(g) appear to duplicate any other submitted Entry;
(h) contain copyrighted materials owned by others;
(i) contain any identifiable names or markings of any third party, including, but not limited to, trademarks, logos, or insignia, including brand names of any products, except those owned by Sponsor;
(j) contain any personal identification, such as persons’ names, e-mail addresses, street addresses or license plate numbers;
(k) communicate messages inconsistent with the positive image of the Sponsor’s name and/or any of its brands;
(l) contain any material that violates or infringes another's rights, including but not limited to material that violates privacy, publicity, or intellectual property rights, or that constitutes copyright infringement;
(m) include or refer to any third parties, including but not limited to minors, celebrities and friends, who have not expressly authorized such inclusion or reference; or
(n) violate any law.

The Sponsor reserves the right to reject any Entry which Sponsor determines, in its sole and absolute discretion, does not meet the above criteria or is otherwise offensive or is not in keeping with the Sponsor’s image and reputation. Sponsor reserves the right to remove any Entry without prior notice. Sponsor also reserves the right, in its sole discretion, to make minor modifications or edits to an Entry, including but not limited to, correcting spelling mistakes.

Sponsor grants you a limited revocable, non-sub-licensable, license to use the Applegate company name, trademarks, trademark logos and product names (the “Applegate Material”) for the sole purpose of submitting your Entry and you may make no further use whatsoever of the Entry for any other purpose. In addition, you agree that all of the right, title, and interest in Applegate Material and all derivative works created using Applegate Material (including the Entry) are being conveyed to, and shall vest exclusively in, Sponsor, and you will not have or take any action that might harm or adversely affect such rights. No right, title, or interest in and to Applegate Material except for the limited license granted to you in these Official Rules is being transferred or created.

4. INTELLECTUAL PROPERTY LICENSE AND RELEASE: By entering, you represent and warrant that (a) you are the sole owner of your Entry and all rights in your Entry (except for Applegate Material); (b) you have the right to submit the Entry and to transfer and assign to the Sponsor rights in the Entry, as described below; (c) your Entry consists of only your original work (except for Applegate Material) and no part of your Entry (except for Applegate Material) has previously been published anywhere else or entered into any other contest; (d) you have not granted any person, corporation or other entity any rights to use your Entry; (e) your Entry meets the criteria in Section 3; (f) your Entry does not defame or violate the rights of publicity or privacy of any person, living or deceased, or otherwise infringe upon the publicity rights or privacy of any third person, living or deceased, or otherwise infringe upon any person’s personal or property rights or other third party rights; (g) your Entry is not offensive or inappropriate, as determined by Sponsor in its sole discretion, nor does it violate any law; and (h) if your Entry contains third party elements not owned by you (except for Applegate Material), you have obtained written consent from those owners to submit your Entry and, if requested to do so, you can and will produce such written consent in a form and manner acceptable to the Sponsor. Failure to provide such proof on request may render your Entry null and void. By submitting an Entry, you warrant and represent that you consent to the submission and use of the Entry in the Contest and to its use as otherwise set forth herein.
Entrants understand and agree that they shall retain all ownership rights in Entry (except for Applegate Material); however, by submitting an Entry, Entrant hereby grants Sponsor a perpetual, worldwide, irrevocable, non-exclusive, royalty-free, sub-licensable and transferable license to edit, publish, use, adapt, exploit, modify or dispose of any Entry, in whole or in part, online, in print, film, television, or in any other media now or hereafter known throughout the world in perpetuity without compensation, permission or notification to Entrant or any third party, for any purpose whatsoever.

By submitting an Entry, you acknowledge and agree that Sponsor may obtain many submissions in this Contest and that your Entry may be similar or identical in theme, idea, format or other respects to others submitted in this Contest or other contests sponsored by the Sponsor, or to other ideas conceived by or provided to Sponsor, and you waive any and all claims you have or may have, now or in the future, that any Entry and/or other works accepted, reviewed and/or used by the Sponsor (or its designees) are similar or identical to your Entry. Except where prohibited by law, you acknowledge and agree that the Sponsor does not have now, nor shall it have in the future, any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of any copyright in and to your Entry.

YOU WILL NOT BE PAID OR COMPENSATED IN ANY WAY FOR YOUR ENTRY or for granting any of these rights. You agree to waive all claims to and shall receive no royalties of any kind now or in the future from the Released Parties and their licensees, successors and assigns for use of your Entry or otherwise, and you represent, warrant and agree that no other party is entitled to claim royalties from the use of the Entry and that your Entry is not subject to any collective bargaining agreements.

5. DETERMINATION OF WINNERS/JUDGING: All eligible Entries received during the Entry Period will be judged as described below by a qualified panel of judges selected by Sponsor. There will be three (3) tiers of judging:

First Tier: All eligible Entries received from each Category will be judged based on the following equally weighted criteria to determine the top fifteen (15) Entries (five (5) from each Category), subject to verification of eligibility and compliance with these Official Rules:

1. Recipe Creativity
2. Use of allergen-free Ingredients
3. Inspiration behind recipe creation

In the event of a tie, an additional, “tie-breaking” judge will determine the Entry/Entries which will proceed to the Second Tier based on the above stated judging criteria. Decisions of judges are final and binding. Sponsor reserves the right to select fewer than fifteen (15) Entries (five (5) per Category) to advance to the Second Tier if, in its sole discretion, it determines it does not receive a sufficient number of eligible and qualified Entries. Up to fifteen (15) Entries (five (5) per Category) with the highest scores will be deemed “Semi-Finalists”. Semi-Finalists understand and agree that their recipe will be prepared using the instructions provided in their Entry in order to be judged during the Second Tier of the Contest.

Second Tier: Five (5) Entries received from each Category will be judged based on the following criteria to determine the top three (3) Entries (one (1) from each Category), subject to verification of eligibility and compliance with these Official Rules:

1. Recipe Creativity (10%)
2. Use of allergen-free Ingredients (10%)
3. Inspiration behind recipe creation (45%)
4. Taste (35%)

In the event of a tie, an additional, “tie-breaking” judge will determine the Entry/Entries which will proceed to the Third Tier based on the above stated judging criteria. Decisions of judges are final and binding. Sponsor reserves the right to select fewer than three (3) Entries to advance to the Third Tier if, in its sole discretion, it determines it does not receive a sufficient number of eligible and qualified Entries. Up to three (3) Entries with the highest scores will be deemed “Finalists”.

Finalist Requirements: Potential Finalists will be notified via telephone and/or e-mail on or about June 12, 2023. Potential Finalists will have three (3) days to respond to any e-mail or phone call message. If any e-mail to a potential Finalist is undeliverable, any phone number provided by a potential Finalist is incorrect or no longer in service, a response to any given e-mail or phone call/message is not received within three (3) days of date of its issuance or a potential Finalist does not comply with these Official Rules (within Sponsor’s sole discretion), the opportunity to proceed to the Third Tier may be forfeited and, at Sponsor’s discretion, the next highest scoring entry in the applicable Category may be selected and notified. Each potential Finalist will be required to execute and return an affidavit of eligibility, ownership, and intellectual property license and a liability release and, where legal, a publicity release (“Affidavit/Release”) and IRS Form W-9 within three (3) days of date of issuance of those documents; if a potential Finalist fails to do so, the opportunity to proceed to the Third Tier may be forfeited and, at Sponsor’s discretion, the next highest scoring entry in applicable Category may be selected and notified. Finalists understand and agree that their recipe will be prepared using the instructions provided in their Entry in order to be judged during the Third Tier of the Contest.

Third Tier: The Finalists (up to three (3) Entries) (one (1) from each Category) will then be judged on the following criteria to determine the First and Runner Up Prize winners:

1. Recipe Creativity (25%)
2. Use of allergen-free Ingredients (25%)
3. Taste (50%)

Based on the judging criteria set forth above, the Finalist Entry with the highest overall score will be deemed the First Prize winner and will receive the First Prize as described below in Section 7, subject to verification of eligibility and compliance with these Official Rules, and the two (2) remaining Finalist Entries with the next highest scores will be deemed the Runner Up winners and will receive a Runner Up Prize as described below in Section 7, subject to verification of eligibility and compliance with these Official Rules. In the event of a tie among Finalists, an additional, “tie-breaking” judge will be engaged to determine the First Prize and/or Runner Up Prize winners, using the same criteria for judging. Decisions of judges are final and binding. Sponsor reserves the right to not award all prizes if, in its sole discretion, it determines it has not received a sufficient number of qualified eligible Entries.

Potential First and Runner Up Prize winners will be contacted via telephone and/or e-mail on or about July 24, 2023. Potential winners will have three (3) business days to respond to any e-mail or phone call message. If any e-mail to a potential winner is undeliverable, any phone number provided by a potential winner is incorrect or no longer in service, a response to any given e-mail or phone call/message is not received within three (3) business days of date of issuance or any potential winner does not comply with these Official Rules, the prize may be forfeited and not awarded. If any potential winner does not comply with these Official Rules or prize notification or prize is undeliverable, the prize may be forfeited and not awarded.

6. AGREEMENT TO OFFICIAL RULES AND DECISIONS. By participating, each Entrant fully and unconditionally agrees to be bound by and accepts these Official Rules, and the decisions of Sponsor and judges (including, without limitation, decisions regarding eligibility of Entries, the approval of Entrants and selection of the winners, and the awarding of the prizes), which are final and binding in all respects.

7. PRIZES:
Runner Up Prize packages (two (2)): Each package consists of: $500.00 (awarded in the form of a $500.00 check) (Estimated Retail Value (“ERV”) $500.00) and a three (3)-month supply of APPLEGATE® products awarded in the form of six (6) coupons (certain coupon terms & conditions as specified by issuer apply, including but not limited to: coupons can be used in-store where APPLEGATE® products are sold (not valid for online purchases), excludes bulk deli varieties, and limited to one coupon per purchase) (maximum ERV $83.94). Maximum total ERV of each Runner Up Prize package is $583.94.

First Prize package (one (1)): A trip for two (2) (winner and one (1) guest) to Orlando, FL between October 12, 2023 – October 16, 2023 to attend the FARE Food Allergy Summit 2023 event. The First Prize package consists of: (i) roundtrip coach commercial air transportation from a major U.S. gateway airport near winner’s residence (as determined by Sponsor) to Orlando, FL; (ii) standard occupancy accommodations for five (5) days/four (4) nights at a hotel designated by Sponsor (one (1) room); (iii) two (2) tickets to attend the FARE Food Allergy Summit 2023 event; (iv) ground transportation to/from hotel and airport; (v) a $500.00 stipend (for winner only, awarded in the form of a $500.00 check); $500.00 (awarded in the form of a $500.00 check) and (vi) a six (6)-month supply of APPLEGATE® products awarded in the form of twelve (12) coupons (certain coupon terms & conditions as specified by issuer apply, including but not limited to: coupons can be used in-store where APPLEGATE® products are sold (not valid for online purchases), excludes bulk deli varieties, and limited to one coupon per purchase)) (maximum ERV $167.88). Maximum total ERV of First Prize package is $5,067.88. The value for travel portion of prize is an estimate made before the Contest begins. Actual value of trip portion of prize may vary based upon location of departure city. The actual/ARV value may differ at the time of prize award. The ARV of travel may vary based on airfare fluctuations and distance between departure and destination. Winner will not receive the difference between the actual value and the ARV. Travel must be completed between the dates specified above. If potential winner is unable to complete travel between dates specified above, the First Prize package will be forfeited and Sponsor will have no further obligation to such winner. If winner resides within a one hundred (100)-mile radius of destination, ground transportation will be provided in lieu of air transportation and no compensation or substitution will be provided for difference in prize value. If, for whatever reason, any portion of the trip is cancelled or postponed, no compensation or substitution will be provided, however remainder of prize package will be awarded, and Sponsor shall have no further obligation to such winner. Travel arrangements must be made through Sponsor’s agent, on a carrier of Sponsor’s choice no later than August 31, 2023. Travel is subject to capacity controls, availability, and certain other restrictions, all of which are subject to change. Winner and guest must travel together on the same itinerary, including the same departure date, destination and return date. No stopovers are permitted on airline tickets issued as a prize; if a stopover occurs, the prize will terminate at the stopover point and full fare will be charged for the remaining segments, including the return, of the trip. The “Released Parties” (as defined below) are not liable for any expenses incurred as a consequence of the cancellation or delay of any flight. Guest of winner must be of legal age of majority in his/her state of residence (and at least 18), unless he/she is winner’s child or legal ward. Guest (or winner, if guest is winner’s child or legal ward) must execute and return a travel liability/publicity release prior to travel. Winner and guest are responsible for obtaining all travel documents required by airline and comply with all applicable hotel check-in requirements, such as presentation of a major credit card. Winner and guest must comply with all applicable event rules and regulations. Sponsor reserves the right to deny participation or remove winner and/or guest from any destination location or event if either engage in illegal conduct or behave in a disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at any destination location or event or appear to be under the influence of drugs or alcohol.

Total maximum ERV of all prizes combined is $6,235.76. Winners will be responsible for all taxes (including federal, state, and local taxes) and any other costs and expenses associated with acceptance and use of a prize not described herein as being awarded, including but not limited to luggage fees, additional ground transportation, meals, gratuities and souvenirs with respect to First Prize. Prizes are not transferable, redeemable for cash, or substitutable except by Sponsor, which reserves the right, at its discretion, to substitute a prize or portion of a prize with one of comparable or greater value. Limit one (1) prize per person, per household and per e-mail address for the duration of the Contest Period.

The winner acknowledges that there is inherent risk associated with travel, and by accepting the prize the winner agrees to incur such risk and release Sponsor from any liability for related damages. Winner acknowledges and agrees Sponsor will not provide any insurance associated with the prize, and winner and guest are responsible for obtaining any related insurance, if desired. Only those specific items listed above are included in the prize, and all details not specifically listed above will be at Sponsor’s sole discretion. Winners are solely responsible for any expenses incurred in connection with the trip not specifically included above, including airline baggage fees, gratuities, incidental travel and meals, outside of the $500 stipend provided. All travelers (winner and guest) must travel on same itinerary. Travel must be round trip. Sponsor will determine airline and flight itinerary in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel is subject to the terms and conditions set forth in these Official Rules, and those set forth by the Sponsor’s airline carrier of choice as detailed in the passenger ticket contract. The Sponsor is not responsible if any scheduled flight, transfer, lodging or event is delayed, unavailable, postponed or cancelled for any reason and winner will not be reimbursed for associated costs. Airline tickets may be subject to issuer's standard rain-check policies and procedures. Limitations and restrictions may apply, based on resort and airline policies. If a winner's guest is a minor (as determined by his/her state of residence), winner must be the minor's parent/legal guardian and must complete required paperwork on behalf of minor as applicable. Winner and travel companion must execute liability/publicity releases prior to issuance of prize documents, as outlined below. Restrictions, conditions and limitations may apply. Lost, mutilated, or stolen tickets, vouchers or certificates will not be replaced. Prizes are non-transferable. No substitutions or cash equivalents allowed, except at Sponsor’s sole discretion. Sponsor reserves the right to substitute prize for one of equal, lesser, or equivalent value. Limit one prize per person. All prizes claimed in accordance with these rules will be awarded.

8. PUBLICITY. Except where prohibited by law, by submitting an Entry, you irrevocably grant to Sponsor and those acting with its authority, the exclusive, unrestricted, sub-licensable, absolute, irrevocable, perpetual, worldwide right and license to use your Entry, name, address, likeness, voice, biographical and personal background information, and statements, without further compensation, consideration, or notice or permission, and to reproduce, copy, modify, create derivative works of, display, perform, exhibit, distribute, transmit or broadcast, publicly or otherwise, or otherwise use and permit to be used the Entry or any part thereof, whether alone or in combination with other materials, in any media now known or hereafter developed, in connection with any purpose, including but not limited to advertising, promotion, publicity, and trade. The rights granted under this paragraph shall extend to all Entries and all other submitted materials related to the Contest, including those submitted by non-winners and winners. Despite the above, Sponsor has no obligation to use such materials in any manner.

9. GENERAL CONDITIONS. Sponsor reserves the right, in its sole discretion, to terminate, modify or suspend the Contest if, in Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, there is any unsportsmanlike, dangerous or disruptive behavior associated with the Contest, or there are viruses, bugs, unauthorized intervention, fraud, technical difficulties or failures or any other factor beyond Sponsor’s reasonable control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, including but not limited to Acts of God, epidemic or pandemic. In such event, Sponsor reserves the right (but does not have the obligation) in its sole discretion to award prizes from among eligible, non-suspect Entries received up to the time of suspected impairment using the applicable judging procedure outlined above. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any website or undermine the legitimate operation of this Contest is a violation of criminal and civil laws, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision or any other provision of these Official Rules.

10. RELEASE. By entering, each entrant forever, fully and irrevocably releases and holds harmless Sponsor, Food Allergy Research and Education (FARE), Applegate Farms, LLC and Trymark Consulting Group, L.L.C. and all of their respective parents, subsidiaries and affiliates, and their respective agents, advertising and promotion agencies, affiliates, Contest partners and prize suppliers, and each of their respective employees, officers, directors, shareholders and agents (collectively, the “Released Parties”) from and against all claims, damages or liabilities arising in whole or in part, directly or indirectly, from entrant’s participation and/or Entry in the Contest and/or winner’s award, receipt or use of any prize awarded in the Contest or any prize-related activity.

11. LIMITATIONS OF LIABILITY. Released Parties are not responsible for: (a) incorrect or inaccurate transcription of Entry information or late, lost, misplaced, filtered, stolen, unintelligible, mutilated, altered, incomplete or misdirected Entries or Entries received through impermissible or illegitimate channels, all of which will be disqualified; (b) technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer online systems, computer equipment, website, server provider, network, hardware or software; (c) the unavailability or inaccessibility of any website or service; (d) unauthorized intervention in any part of the entry process or the Contest; (e) the announcement of the prizes, printing, typographical, electronic or human errors, which may occur in the offer or administration of the Contest or the processing or judging of Entries; or (f) any injury or damage to persons or property, including but not limited to entrant’s computer, which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest, or from viewing, playing or downloading any material from Sponsor’s website(s), regardless of whether the material was prepared by Sponsor or a third party, and regardless of whether the material is connected to Sponsor’s websites by a hypertext link.

12. DISPUTES. Entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Contest, or any prizes awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively in a federal or state court located in Mower County, Austin, Minnesota; entrant submits to sole and exclusive personal jurisdiction to said courts in the State of Minnesota for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (b) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, consequential, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant or Sponsor in connection with the Contest shall be governed by, and construed in accordance with, the laws of the State of Minnesota, without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of Minnesota, the United States, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Minnesota.

13. DATA COLLECTION. Information collected in this Contest will be administered by Sponsor in accordance with its Privacy Policy, located at http://applegate.com/privacy-policy.

14. WINNERS LIST/OFFICIAL RULES.
